Ultimate Home Tailgate Sweepstakes
October 11, 2009 - December 7, 2009

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.  MAKING A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

The following promotion is intended for participants in the United States only and shall be construed and evaluated according to the laws of the United States. Do not proceed in this promotion if you are not a legal resident of the United States. Further eligibility restrictions are contained below.

1. DESCRIPTION: The "Ultimate Home Tailgate Sweepstakes" (the "Sweepstakes"), which consists of three (3) separate entry periods (each, an “Entry Period”), begins on October 11, 2009 at 12:01 am Eastern Time (“ET”) and ends on December 7, 2009 at 11:59 pm ET ("Sweepstakes Period"). The sponsor of this Sweepstakes is NBC Sports, a division of NBC Universal, Inc. (“Sponsor”).  The presenting sponsor of this Sweepstakes is Sears Holdings Management Corporation ("Presenter") The administrator of this Sweepstakes is Creative Zing Promotion Group ("Administrator").  Hereinafter, Sponsor, Presenter and Administrator and their respective parent, subsidiary, and affiliate companies, administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes will be collectively referred to as the “Sweepstakes Entities”.

2. ELIGIBILITY: The Sweepstakes is open only to permanent legal residents of fifty (50) United States or Washington, D.C. (residents of Guam, the U.S. Virgin Islands, Puerto Rico and other U.S. territories are excluded from entry and participation), who are at least eighteen (18) years of age and not a minor in their state of primary residence at the time of entry (“Entrant”). Employees of Sweepstakes Entities and their immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to participate in or win the Sweepstakes. Void where prohibited by law. All applicable federal, state and local laws apply.

3. HOW TO ENTER: To enter, log on to http://www.NBCSports.com/sears (the “Web Site”).  Next, click on the "Ultimate Home Tailgate Sweepstakes" icon, and follow the on-screen instructions to complete and thereafter submit the entry form, which includes your name, address, telephone number, email address and date of birth. Entries must be received after the start dates and before the end dates listed on the chart below.

ENTRY CHART

Limit one (1) entry per person, per day during each Entry Period, as determined by name and unique email address. Multiple entries received from any person or email address beyond the stated limits will void all such additional entries.  Entries will not carry over between Entry Periods.  Each Entrant must be the rightful owner (or have authorized use) of the e-mail address identified in the Entrant's entry. In the event of a dispute as to the identity of a winner, the winner will be deemed the natural person in whose name the e-mail account was opened. Any attempt by any participant to obtain more than one (1) entry per day by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant’s entries and that participant may be disqualified at the sole discretion of Sponsor. Entries generated by script, macro or other automated means are void. Entries that are damaged, inaccurate, illegible incomplete, garbled, corrupted, or unintelligible for any reason including, but not limited to, computer or network malfunction or congestion are void and will not be accepted.  Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. ELIGIBLE ENTRANTS MUST SUBMIT THE REQUESTED ENTRY INFORMATION IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED. Participation in the Sweepstakes constitutes Entrant's understanding and acceptance of, and full and unconditional agreement to, these Official Rules. All entries become the property of the Sponsor and will not be acknowledged.

4. RANDOM DRAWING/WINNER NOTIFICATION: On or about each of the drawing dates indicated in the Entry Chart above, one (1) potential winner will be selected via a random drawing conducted by the Sweepstakes Administrator for a total of three (3) potential winners . Each potential winner will be notified by telephone, email and/or overnight mail within approximately one (1) day of the aforementioned drawing date. The potential winner must be able to receive telephone calls from an unlisted and/or blocked number. Administrator will not leave messages on a voicemail system or with anyone other than the potential winner. Administrator reserves the right to disqualify anyone not fully complying with the Official Rules. Each potential winner will be required to respond (as directed) to the notification within twenty-four (24) hours of the first attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case, Administrator will randomly select an alternate potential winner from the remaining eligible entries. Each potential winner may be required to verify their mailing address and return within two (2) days an affidavit of eligibility and liability/publicity release covering eligibility, liability, advertising, publicity and media appearance issues, unless prohibited by law. Failure of any potential winner to return the executed affidavit and release forms within the specified time period may result in forfeiture of the prize and selection of an alternate winner from the remaining eligible entries for that prize at Sponsors sole discretion.

5. PRIZES: A total of three (3) prizes will be awarded (one (1) per Entry Period).  Each prize consists of:  one (1) $5,000 Sears Gift Card. Approximate Retail Value (“ARV”) of each prize:  five thousand dollars ($5,000).  Total ARV per Entry Period: five thousand dollars ($5,000).  Gift Card is subject to certain terms and conditions as specified by issuer.  Winner cannot assign or transfer the prize to another person.  No transfer, substitution, assignment or cash redemption will be awarded in lieu of stated prize except by Sponsor who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at their sole discretion.  All prize details are at the sole discretion of the Sweepstakes Entities.  If winner cannot accept the applicable prize as stated, the prize will be forfeited, and at Sponsor’s discretion, an alternate potential winner may be selected.   In the event that any prize component is not available for any reason, then remaining elements of prize shall be awarded and shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded.  Winner will be responsible for any and all federal, state and/or local taxes resulting from acceptance of the prize. Winner will receive an IRS Form 1099 for the calendar year in which the prize was fulfilled. Other restrictions may apply.  Limit one (1) prize per household. If prize is awarded but goes unclaimed or is forfeited by recipient, the prize may not be re-awarded, in Sponsor’s sole discretion.  Odds of winning depend on the number of eligible entries received.

6. GENERAL RULES: Acceptance of prize constitutes permission to the Sweepstakes Entities and their respective designees to use winner's name, city, state, likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, notification or permission, unless prohibited by law. By participating, entrant (i) agrees to release and hold Sweepstakes Entities and each of their respective directors, officers, employees and assigns (collectively, the "Released Parties"), harmless against any and all claims and liability arising in whole or in part, directly or indirectly, out of participation in the Sweepstakes or misuse, non-use or use of the prize (including any travel or activity related thereto); (ii) waives all rights to claim punitive, incidental and consequential damages, attorney's fees or any damages other than actual out-of-pocket costs incurred to enter; (iii) agrees to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding on all matters relating to the Sweepstakes; (iv) agrees to waive any right to claim any ambiguity or error in these Official Rules or the Sweepstakes itself.  Released Parties are not responsible for incomplete, lost, late, stolen, damaged, inaccurate, illegible, misdirected, garbled, delayed, corrupted, unintelligible or undelivered entries; for any computer, network, technical, mechanical, printing, typographical, human or other errors or problems of any kind relating to or in connection with the Sweepstakes, including, without limitation, errors or problems of any kind that may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement, delivery or use of any prize or in any Sweepstakes-related materials, including these Official Rules; or for any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes. CAUTION: Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, Sweepstakes Entities reserve the right to seek damages from any such entrant to the fullest extent permitted by law, including criminal prosecution.

If for any reason this Sweepstakes is not capable of being run or implemented as planned (as determined by Sponsor in its sole discretion), including, but not limited to, as the result of infection by computer viruses or bugs, tampering, unauthorized intervention, fraud, or any other cause of any kind, which, in Sponsor’s sole judgment, is likely to or actually corrupts or affects the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend all or any part of the Sweepstakes, or to disqualify any implicated entrant(s) (and any related entries), and the prize(s) (or any portion thereof) may not be awarded. In the event of cancellation, termination, modification or suspension, Sponsor reserves the right, at its sole discretion, to select winner(s) in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation, termination, modification or suspension, as applicable. In the event this Sweepstakes is cancelled prior to the stated end date, a notice will be posted at the Web Site.

The failure of Sweepstakes Entities to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sweepstakes Entities (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

7. LIMITATION OF LIABILITY: Entrants and winners agree that the Released Parties shall not be liable for injury, loss or damage of any kind resulting from participating in this Sweepstakes or from the acceptance or use of any prize awarded, including any future use of any winning entries. Sweepstakes Entities reserve the right (but are not obligated) to verify the eligibility qualifications of any winner.

8. NO WARRANTIES: Sweepstakes Entities make no warranties covering any of the prizes furnished as part of this Sweepstakes.

9. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant, Sweepstakes Entities or the Released Parties in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of New York. If any controversy or claim arising out of or relating to the Sweepstakes, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of New York, and administered by Judicial Arbitration and Mediation Services ("JAMS") in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (the "JAMS Rules"). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in New York. The decision of the arbitrator shall be binding, final and conclusive and shall not be appealable to any court. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. 

10. PRIVACY: Names and contact information will be shared by Sweepstakes Entities in order to contact winners for the purpose of fulfillment of prizes. Entrants will have the opportunity to receive information from Sponsor and Presenter by checking the appropriate boxes. If, at any time, you no longer wish to receive materials from Sponsor or Presenter, please go to the privacy policy of the applicable entity located at http://nbcuni.com/Privacy_Policy/ and  http://www.sears.com/shc/s/nb_10153_12605_NB_CSprivacy and follow the procedures indicated.

11. LIST OF WINNERS/RULES: To obtain a copy of the list of winners or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to "Ultimate Home Tailgate Sweepstakes", 100 E. Pine Street, Suite 201, Orlando, FL 32801 and indicate: “Winner List” or “Official Rules”. Requests for the names of the winners must be received no later January 10, 2010. Vermont residents may omit return postage for Official Rules requests.
